Raytheon Applied Signal Technology, Inc. (Raytheon AST) is sponsoring the Western Regional Collegiate Cyber Defense Competition (CCDC) on March 25–27 at California State Polytechnic University in Pomona, CA.

 

The competition tests students’ knowledge on how to manage and protect an existing commercial network infrastructure while accomplishing routine business tasks. Students from two- and four-year colleges and universities from Arizona, California, and Nevada will face a “red team” of hackers trying to disrupt and compromise their networks. The winning team will go on to compete at the National CCDC event sponsored by the Department of Homeland Security at University of Texas, San Antonio, in April 2011.

 

“Cyber threats are continuously evolving. Defense of our critical infrastructure is key, and competitions such as the CCDC provide students with an exciting and challenging introduction to careers in technology and engineering. We are proud to support the Western Regional CCDC as it provides real-world training – something the students do not experience in the normal academic lab,” said William Van Vleet, President of Raytheon AST. “Industry must actively develop and employ the next generation of cyber warriors to ensure the availability and trustworthiness of our nation’s critical networks and information.”

 

Several Raytheon AST employees will be on site during the competition in various support roles. Some will discuss recruiting and joint research and development opportunities with Cal Poly Pomona and others will participate as red team members. “Our ongoing involvement in these skill-building competitions reflects Raytheon AST’s commitment to investing in education, technology, and our global security,” said Van Vleet.

Raytheon Applied Signal Technology, Inc. (Raytheon AST) will exhibit at the Spring 2011 Phoenix Challenge Technology Exposition, March 16, at the Island Palms Hotel & Marina in San Diego, CA. This year’s theme is Better Information Operations through Technology.


The mission area will feature its next-generation cyber solutions, including a video presentation titled, A Force Multiplier for Commercially Available Network Exploitation Tools.


The Raytheon AST solution utilizes very-high-speed line rate processing to allow access to the “super highway” part of the internet, also known as the telecommunications transport network. Our video presentation will show how high-speed processing positioned in the telecommunications infrastructure can significantly magnify the effectiveness and utility of commercially available network exploitation tools.


Roger Anderson, Vice President of Raytheon AST’s Network Intelligence product line, commented, “An urgent need exists for a capability that can counter threats from adversary influence operations, web-based enemy communications, and cyber weapons. The solution needs to be cost-effective, scalable, and effective against multiple threat types. Raytheon AST offers this capability today. Our presentation will provide an excellent example of how our computer network operation capabilities can enable a hypothetical operation of real-world influence.”

Dr. Joseph Leonelli, Vice President of Strategic Initiatives, presented a check on behalf of AST's Corporate Officers and Directors to WWP representative Keith Hensley at the organization’s Washington, DC office.

WALTHAM, Mass., (Jan 31, 2011) – Raytheon Company (NYSE: RTN) today announced the completion of its tender offer, through its wholly owned subsidiary RN Acquisition Company, for all outstanding shares of Applied Signal Technology, Inc. (NASDAQ: APSG). The tender offer expired at 12:00 midnight, Eastern Time, on Friday, January 28, 2011. Based on information provided by BNY Mellon Shareowner Services, the depositary for the tender offer, approximately 12,413,103 shares, representing approximately 87.8 percent of AST’s outstanding shares, were validly tendered and not withdrawn in the offer (including shares tendered by notice of guaranteed delivery). All such shares have been accepted for payment in accordance with the terms of the tender offer. Raytheon does not intend to offer a subsequent offering period in connection with the offer.


Raytheon intends to exercise its "top-up" option and thereafter will own sufficient common stock of AST necessary to effect a "short-form" merger under California law, after which AST will become a wholly-owned subsidiary of Raytheon, without the need for a meeting of AST shareholders. In connection with the short-form merger, each outstanding share of AST common stock will be converted into the right to receive $38.00 in cash, without interest and less any applicable withholding taxes, the same price per share paid in the tender offer. Raytheon intends to complete such merger promptly and upon the completion of such merger AST’s shares will cease to be traded on the NASDAQ Global Select Market.
Following the acquisition, AST will be integrated into Raytheon’s Space and Airborne Systems (SAS) business and will be renamed Raytheon Applied Signal Technology, Inc.
